Four things worth knowing before you form an S.A.S.
  • An S.A.S. is formed by private document under Ley 1258 de 2008 — no notarial escritura pública is required unless real estate is contributed as capital.
  • 100% foreign ownership is permitted. There is no local-partner requirement and no minimum capital set by law.
  • Form 11 at Banco de la República is what registers your capital as foreign investment — it is the paperwork that lets you legally repatriate profits and dividends later. Skip it and getting money out becomes a genuine problem.

How much does it cost to open an S.A.S. in Colombia?

For a small company with COP 10–50 million in subscribed capital, plan on roughly COP 5–7 million all-in (about US$1,450–2,050 at a COP 3,450/USD planning rate). Do I need a notary to form an S.A.S. in Colombia?

No. Under Ley 1258 de 2008 an S.A.S. is formed by private document registered at the Cámara de Comercio — no notarial escritura pública is required unless real estate is contributed as capital.

Can foreigners own 100% of a Colombian S.A.S.?

Yes. Colombia permits 100% foreign ownership of an S.A.S., with no local-partner requirement. To legally repatriate profits later, register your capital contribution as foreign investment with Banco de la República using Form 11.

How long does it take to open an S.A.S. in Colombia?

With documents in order, a Colombian S.A.S. is generally operational in 3–4 weeks: drafting and registering the estatutos, obtaining the NIT/RUT at DIAN, opening the corporate bank account, and setting up e-invoicing.
